Terms of Service

The agreement governing use of the ROIOn platform and the advertising services EverSpark Interactive provides.

Last updated 4 November 2026

1. Agreement

These Terms of Service govern access to and use of the ROIOn platform and any advertising, attribution or related services supplied by EverSpark Interactive LLC (“EverSpark”, “we”). By creating an account, connecting a third-party account, or receiving services from us, you agree to these terms on behalf of your firm.

2. The service

ROIOn consolidates calls, web forms and live chats into single lead records, writes the originating source into a firm's case management system, reads case outcomes back out, and reports cost per signed case by campaign. EverSpark separately plans, builds and manages paid search and Local Services Ads campaigns for client firms.

We may change, improve or discontinue features. We will give reasonable notice before removing a feature a firm materially relies on.

3. Accounts and connected services

You are responsible for the accuracy of account information, for the security of credentials, and for activity under your account. Notify us promptly of suspected unauthorised use.

Connecting a third-party account — Google Ads, a case management system, a call tracking provider or similar — authorises us to access that account on your behalf for the purposes described in our Privacy Policy. You warrant that you have authority to grant that access. You may withdraw it at any time, which may prevent parts of the service from functioning.

4. Your data

As between you and us, your firm owns its lead, matter and advertising data. You grant us a non-exclusive licence to host, process and display that data for the purpose of providing the service and reporting to you.

You are responsible for having a lawful basis to provide us with personal information about your prospective and actual clients, and for your own obligations of professional confidentiality.

5. Acceptable use

You agree not to:

  • use the service unlawfully, or in breach of advertising platform policies or applicable rules of professional conduct;
  • attempt to access another customer's data, or probe, scan or test the security of the service;
  • resell, sublicense or provide the service to a third party without our written agreement;
  • reverse engineer the platform or use it to build a competing product;
  • upload material that is unlawful, infringing or malicious.

We may suspend access where use threatens the security or integrity of the service, or where required by law.

6. Advertising spend and third-party platforms

Media spend is billed by the advertising platform directly to the firm's own account unless agreed otherwise in writing. Management fees are separate from media spend.

Advertising platforms set their own policies, auction dynamics and pricing, and may change them without notice. We do not control and do not warrant the availability, accuracy or performance of Google Ads, Local Services Ads, case management systems or any other third-party service.

7. Fees

Fees, scope and term are set out in the order form, proposal or statement of work agreed with your firm. Unless that document says otherwise, invoices are due within 15 days, and overdue amounts may be suspended from service after written notice.

8. No guarantee of results

We do not guarantee any particular lead volume, case volume, cost per case, ranking or return. Nothing we provide is legal advice, and nothing in the service creates an attorney-client relationship between EverSpark and anyone.

9. Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these terms.

10. Term and termination

Either party may terminate as set out in the applicable order form, or immediately on material breach that is not cured within 30 days of written notice. On termination we will, on request, provide an export of your data and then delete it in line with the retention periods in the Privacy Policy.

11. Disclaimers

Except as expressly stated, the service is provided “as is” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

12. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost business. Our aggregate liability arising out of or relating to these terms will not exceed the fees paid to us by your firm in the 12 months preceding the claim, excluding media spend passed through to advertising platforms.

13. Indemnity

You will indemnify us against third-party claims arising from your data, your use of the service in breach of these terms, or your breach of law or professional obligations.

14. Governing law

These terms are governed by the laws of the State of Georgia, United States, without regard to conflict of laws rules. The state and federal courts located in Fulton County, Georgia have exclusive jurisdiction, and each party consents to that venue.

15. Changes

We may update these terms. We will post the updated version here and update the date above. Material changes will be notified to account administrators by email at least 14 days before they take effect.
